✕1. Agreement
These Terms & Conditions govern the relationship between Starielle ("we", "us", "our") and the retailer ("you", "your") submitting a Retailer Application. By submitting this application, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Retailer Application & Approval
Submission of a Retailer Application does not guarantee approval. Starielle reserves the right to approve or decline any application at our sole discretion, and to request additional documentation — including ABN, business licence, trading history, and storefront imagery — before making a decision. Approval is subject to availability in your region and alignment with our brand standards.
3. Ordering & Minimums
Approved retailers are subject to minimum opening order and re-order quantities as communicated at the time of approval. All orders must be placed through the designated Starielle wholesale portal. We reserve the right to adjust stock availability, delivery timelines, and minimum order requirements without prior notice.
4. Pricing & Payment
Wholesale prices are listed in the currency confirmed at approval and are exclusive of GST, duties, and shipping unless stated otherwise. Payment terms will be provided upon approval. New accounts typically require payment in full prior to dispatch. Late payments may incur interest and suspension of the account.
5. Shipping & Delivery
Delivery times are estimates only. Title and risk in the goods pass to the retailer upon dispatch. Retailers are responsible for inspecting goods on receipt and notifying Starielle in writing of any damage, shortage, or discrepancy within 7 days of delivery.
6. Returns & Exchanges
Wholesale orders are final sale. Returns will only be accepted for faulty or incorrectly supplied goods, and must be authorised in writing by Starielle prior to return. Change-of-mind returns are not accepted.
7. Brand Use & Marketing
Approved retailers are granted a limited, non-exclusive, non-transferable licence to use the Starielle name, logo, and approved product imagery solely to promote and resell authentic Starielle products. Retailers must not alter Starielle brand marks, create derivative branding, or use Starielle imagery in a way that misrepresents the brand. Marketing materials featuring Starielle may be required to be submitted for approval prior to publication.
8. Minimum Advertised Price (MAP)
Retailers agree to maintain advertised pricing at or above the Minimum Advertised Price set by Starielle. Discounting, promotions, and sales events involving Starielle products require prior written approval. Breaches of MAP may result in suspension or termination of the wholesale account.
9. Authorised Sales Channels
Starielle products may only be sold through the retail channels disclosed and approved in the application — including physical storefronts and approved online platforms. Resale through unauthorised third-party marketplaces (including but not limited to eBay, Amazon, and Catch) is strictly prohibited without prior written consent.
10. Confidentiality
All pricing, linesheets, lookbooks, and communications between Starielle and the retailer are confidential and must not be disclosed to any third party without prior written consent.
11. Termination
Starielle may terminate the wholesale relationship at any time, with or without cause, by written notice. Upon termination, any outstanding invoices become immediately payable and the retailer must cease use of all Starielle brand marks.
12. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from or relating to this agreement will be subject to the exclusive jurisdiction of the courts of New South Wales.
